Terms of Service

Important: The following document is a general template for Terms of Service. It requires customization by a legal professional to match the specific business processes of Luxury Provider. It does not constitute legal advice.
§ 1. General Provisions
1.1. These Terms of Service define the rules for using the Luxury Provider Platform (hereinafter referred to as the "Platform"), available at www.luxury-provider.com.
1.2. The Platform operates as a subscription-based service providing access to an exclusive private marketplace hosted on Telegram, connecting verified sellers ("Partners") with potential buyers ("Users").
1.3. The Platform does not participate in transactions as a party, does not conduct direct sales, is not the owner of the offered products, and does not guarantee transactions between Partners and Users.
1.4. The Platform has no affiliation with the presented luxury brands(including Hermès, Chanel, and others). All trademarks are the property of their legal owners.
§ 2. Definitions
The following terms are used in these Terms of Service:
- Platform/Luxury Provider – a subscription-based online service providing access to an exclusive private marketplace on Telegram
- Subscription – a paid recurring membership granting access to the private Telegram marketplace and transactional capabilities
- Free Plan – complimentary access limited to monitoring and browsing functionalities without transactional capabilities
- Member – a User with an active paid subscription
- Partner – a verified seller who publishes offers on the Platform
- User – any person using the Platform, including both Free Plan users and Members
- Offer – information about a product available for purchase from a Partner, presented on the Platform
- Authentication Service – commissioning product authenticity verification to an independent third-party company
- Favorites List – a feature allowing the User to save and share selected offers
§ 3. Subscription Model and Access Framework
3.1. Subscription-Based Access. Access to the private Telegram marketplace is granted exclusively through a subscription-based framework. The Platform sells access to an exclusive private marketplace hosted on Telegram.
3.2. Pricing Tiers and Membership Benefits. Detailed information regarding subscription pricing tiers, specific membership benefits, features, and inclusions are available for review at /membership/. By subscribing, Users acknowledge they have reviewed and accept the pricing and benefits associated with their selected subscription tier.
3.3. Subscription Activation. Upon successful payment, the User's subscription is activated, granting immediate access to the private Telegram marketplace and transactional capabilities as specified in their selected tier.
3.4. Subscription Renewal. Subscriptions automatically renew at the end of each billing period unless cancelled by the User. Users may cancel their subscription at any time through their account settings or by contacting customer support.
3.5. Subscription Termination. Upon cancellation, the User retains access to the private Telegram marketplace until the end of the current billing period, after which access is revoked and the User is transitioned to the Free Plan.
§ 4. Free Plan Limitations
4.1. Free Plan Availability. The Platform offers a complimentary Free Plan providing limited access to Platform functionalities.
4.2. Free Plan Restrictions. Users on the Free Plan are expressly restricted to the following functionalities:
- Browsing and viewing product offers and catalog listings
- Monitoring price changes and availability updates
- Creating and managing Favorites Lists
- Setting price alerts for selected products
- Accessing public informational content (blog, guides, market insights)
4.3. Transactional Restrictions. Free Plan Users are explicitly prohibited from initiating, negotiating, or completing any purchase transactions with Partners. Active subscriber status is mandatory to facilitate any purchase transactions with vendors through the Telegram service interface.
4.4. Access to Telegram Marketplace. Free Plan Users do not have access to the private Telegram marketplace where transactional activities occur.
§ 5. Promotional Offer – First Purchase Credit
5.1. Promotion Description. The Platform maintains a permanent promotional offering whereby fifty euros (€50) are deducted from the User's first purchase transaction with a Partner through the Telegram marketplace.
5.2. Credit Value. The promotional credit of €50 represents the exact cost of the basic Member subscription plan, effectively reimbursing the User's initial subscription investment upon completion of their first qualifying purchase.
5.3. Eligibility Requirements. To qualify for the promotional credit, the User must:
- Maintain an active paid subscription at the time of the first purchase
- Complete the first purchase transaction through the Telegram marketplace interface
- Have no previous purchase transactions associated with their Telegram account
5.4. Redemption Limitations. The promotional credit is strictly limited to one redemption per individual Telegram account. Multiple accounts created by the same individual to circumvent this limitation constitute a violation of these Terms and may result in account termination.
5.5. Promotional Duration. This promotional offering is designated as a permanent promotion with indefinite duration, subject to modification or termination at the Platform's discretion as specified in §12.
5.6. Credit Application. The €50 credit is automatically applied to the User's first purchase transaction at checkout through the Telegram marketplace interface. No additional action is required by the User beyond maintaining active subscription status.
5.7. Non-Transferability. The promotional credit is non-transferable, non-exchangeable for cash, and applies exclusively to the User's own first purchase transaction. The credit has no cash value if the first purchase is not completed.
§ 6. EU Consumer Protection and Right of Withdrawal
6.1. Applicable Regulations. The Platform fully complies with applicable European Union consumer protection regulations, including Directive 2011/83/EU on consumer rights and applicable national implementing legislation.
6.2. Digital Services Classification. Access to the private Telegram marketplace constitutes a digital service within the meaning of EU consumer protection legislation.
6.3. Right of Withdrawal. Users who are consumers within the meaning of EU law have the right to withdraw from the subscription contract within 14 calendar days from the date of subscription activation, without giving any reason and without incurring any costs other than those provided for in applicable law.
6.4. Withdrawal Procedure. To exercise the right of withdrawal, the User must inform the Platform of their decision to withdraw by an unequivocal statement (e.g., email sent to legal@luxury-provider.com). The Platform will reimburse all payments received within 14 days from the day on which the Platform is informed of the decision to withdraw.
6.5. Early Access and Withdrawal Waiver. If the User requests immediate access to the digital content (Telegram marketplace) during the withdrawal period and the Platform provides such access before the withdrawal period expires, the User acknowledges that they will lose the right to withdraw once the service has been fully performed.
6.6. Return and Refund Policy. In accordance with EU consumer protection regulations applicable to digital service providers:
- Refunds are processed within 14 days of withdrawal notification
- Reimbursement uses the same means of payment as the original transaction
- No fees are charged for the reimbursement
- Pro-rata refunds are not provided for partial billing periods after withdrawal
6.7. Exceptions to Withdrawal Rights. The right of withdrawal does not apply where the digital service has been fully performed with the User's prior express consent and acknowledgment that they will lose their right of withdrawal once the contract has been fully performed.
§ 7. Platform Operating Rules
7.1. The Platform is of a purely catalog and informational nature. It is not an online storewithin the meaning of consumer rights regulations.
7.2. All product information (prices, availability, condition) comes from Partners and is presented in unchanged form.
7.3. The Platform makes every effort to ensure information is current, but assumes no responsibility for changes made by Partners.
7.4. The purchase process takes place exclusively between the User and the Partner, through the Telegram marketplace interface for Members with active subscriptions.
7.5. The Platform reserves the right to:
- Verify the identity and credibility of Partners
- Refuse to publish or remove offers that do not comply with the rules
- Change Platform functionality, subscription features, and access levels
- Suspend or permanently revoke access in case of violation of the Terms of Service
§ 8. Partner Verification
8.1. To obtain Partner status, an entity must undergo a verification process including:
- Identity verification (individuals) or legal status verification (companies)
- Verification of product sourcing origins
- Verification of business history and references
- Voluntary submission of authenticity certificates or agreements with authorized dealers
8.2. Partner approval does not constitute a guarantee of the quality of offered products or transaction security.
8.3. The Platform reserves the right to conduct periodic re-verification and immediate suspension of cooperation in case of justified doubts.
§ 9. Authentication Services
9.1. The Platform offers the possibility of commissioning authentication services for products to independent third-party companies specializing in the verification of luxury item authenticity.
9.2. The Platform does not conduct authentication in its own capacityand assumes no responsibility for the results of verification conducted by third-party companies.
9.3. The authentication result is binding only for the parties to the service contract (User and third-party company).
9.4. The Platform may, but is not obligated to, publish information about authentication results with Partner offers.
§ 10. Liability
10.1. The Platform operates as an intermediary entity and assumes no liability for:
- Quality, authenticity, or condition of offered products
- Execution of transactions between Users and Partners
- Accuracy of information provided by Partners
- Damages resulting from use of the Platform, except for damages caused by intentional action or gross negligence
- Content transmitted by users
10.2. The Platform does not participate in disputes between Users and Partners, unless obligated to do so by a final court judgment.
10.3. The Partner bears full responsibility for the compliance of offered products with the law, including authenticity, legal origin, and possession of rights to sell.
§ 11. User Rights and Obligations
11.1. The User has the right to:
- Browse offers available on the Platform (Free Plan and Members)
- Access the private Telegram marketplace (Members only)
- Contact Partners and initiate purchase transactions (Members only)
- Create and share Favorites Lists
- Set up price alerts
- Receive the €50 first purchase promotional credit (eligible Members only)
- Protection of personal data in accordance with the Privacy Policy
11.2. The User undertakes to:
- Provide accurate contact information
- Comply with applicable law
- Not disrupt Platform operation
- Not take actions harmful to Partners or other Users
- Maintain active subscription status to access transactional features
§ 12. Unilateral Modification Rights
12.1. Reservation of Rights. Luxury Provider explicitly reserves the unilateral right to modify, suspend, terminate, or alter at any time:
- Promotional terms, including but not limited to the €50 first purchase credit offer
- Pricing structures for all subscription tiers
- Subscription packages and their included features
- Membership benefits and access levels
- Free Plan limitations and available functionalities
- These Terms of Service
12.2. Modification Without Notice. Luxury Provider may exercise these modification rights at any time without prior notice, except where required by applicable law. Changes take effect immediately upon publication on the Platform unless otherwise stated.
12.3. Notification of Changes. Where not required by applicable law, significant changes may be communicated through Platform notifications, email, or other available channels, but failure to provide such notification does not invalidate the changes.
12.4. Continued Use. Continued use of the Platform after any modification constitutes acceptance of the modified terms. Users who do not agree to modified terms must discontinue use of the Platform and cancel their subscription.
12.5. Grandfathering. Unless explicitly stated otherwise, modifications to pricing or subscription features apply to all Users, including existing Members, upon their next billing cycle renewal.
§ 13. Intellectual Property
13.1. All trademarks, logos, and brand names of luxury brands presented on the Platform (including Hermès, Chanel, Louis Vuitton, and others) are the property of their legal owners.
13.2. Luxury Provider has no affiliation with the mentioned brands, is not an authorized representative, distributor, or trade partner of these brands.
13.3. The presentation of branded products is of a purely informational nature and does not constitute an infringement of intellectual property rights within the meaning of unfair competition regulations.
13.4. The Platform respects intellectual property rights and undertakes to respond promptly to infringement notifications in accordance with DMCA procedures.
§ 14. Complaint Procedure
14.1. The Platform, operating as an intermediary entity, is not a party to transactionsand does not accept complaints regarding products or services provided by Partners.
14.2. Complaints regarding products should be directed directly to the Partner with whom the sales contract was concluded.
14.3. Users may report Platform service irregularities (e.g., technical errors, outdated information) by email to support@luxury-provider.com.
14.4. The Platform undertakes to consider technical reports within 14 business days.
§ 15. Termination and Account Deletion
15.1. The User may discontinue use of the Platform at any time without the need to submit additional declarations.
15.2. In case of having an account, the User may submit a request for its deletion by contacting support.
15.3. The Platform reserves the right to suspend or delete an account in case of:
- Violation of these Terms of Service
- Actions harmful to other users or the Platform
- Suspicion of committing a crime or offense
- Prolonged inactivity (over 24 months)
- Attempts to circumvent promotional limitations through multiple accounts
§ 16. Changes to Terms of Service
16.1. Subject to the unilateral modification rights reserved in §12, the Platform may make changes to these Terms of Service in accordance with standard amendment procedures.
16.2. Registered Users will be informed of planned changes by email at least 14 days in advance, where such notice is not superseded by §12.
16.3. Changes take effect after the period indicated in the notification expires. Continued use of the Platform after changes take effect constitutes acceptance of the new Terms of Service.
§ 17. Final Provisions
17.1. These Terms of Service are governed by Polish law.
17.2. Matters not regulated by these Terms of Service shall be governed by the provisions of the Civil Code, the Act on Provision of Electronic Services, and other applicable Polish and European law.
17.3. Any disputes arising from the use of the Platform shall be resolved by common courts competent for the seat of the Platform.
17.4. Users who are consumers have the option of using out-of-court complaint and claim resolution methods, including through the ODR online platform available at: https://ec.europa.eu/consumers/odr.
17.5. In matters related to personal data protection, the right to lodge a complaint with the President of the Personal Data Protection Office is available.
